ACQUISITION GUIDE

Price, value and your total commitment

Keep the headline number, operating economics and acquisition costs distinct.

A headline price is a starting point.

For a real business, an asking price expresses the seller's expectation. It does not establish fair value or the final consideration. A buyer’s stated budget expresses available capital, rather than a seller’s asking price.

Understand the measure of earnings.

Revenue is sales. EBITDA is earnings before interest, tax, depreciation and amortisation, and is not take-home profit. Check the calculation, financial period and support for adjustments before comparing businesses.

Keep the transaction perimeter visible.

Consider how debt, cash, working capital, excluded assets and obligations are treated. A price divided by an earnings figure can be arithmetically correct while offering an incomplete comparison.

Allow for costs beyond consideration.

Separate fees, tax where applicable, professional advice, operating cash and investment needs. For illustration, 5% of AED 3 million is AED 150,000; that calculation says nothing about the value of the underlying business.

Use uncertainty to guide the next question.

A disciplined assessment identifies what is known, what needs evidence and what could change the decision. Treat these educational prompts as a starting point for appropriate advice on an actual opportunity.
